Terms of Service

1. Agreement

These Terms are a contract between you and Raven AGI, registered in Singapore (UEN 53530733X), registered address as reflected in the Singapore ACRA portal under that UEN ("OneSeller", "we", "us").

By signing in to OneSeller you accept these Terms, the Privacy Policy and the Data Processing Addendum. If you do not accept them, do not sign in.

You must be at least 18 and legally able to enter a contract. If you sign in on behalf of a business, you confirm you are authorised to bind it.

2. What OneSeller is

An online tool for individual sellers to manage purchasing, inventory, sales, invoicing, delivery paperwork and reporting for their own business.

What it is not. OneSeller is not an accounting system, a tax filing tool, a payment processor, a courier, or a marketplace. We do not handle your customers' money, we do not carry your parcels, and nothing we produce is accounting or tax advice. Figures in the app are a management aid; you remain responsible for your own books, filings and obligations.

3. Your account

• One account belongs to one business, and is intended for one person. Do not share your sign-in.
• Sign-in is through Google or Apple only. Keeping that account secure is your responsibility, and anything done through your sign-in is treated as done by you.
• Tell us promptly at boss@r4v3nteam.com if you believe your account has been accessed by someone else.
• Keep your account information accurate.

4. Your data stays yours

You own everything you put into OneSeller — your purchase orders, inventory, sales, buyer records and files. We claim no ownership.

We store and process it only to run the service for you. Where that data includes personal information about your customers, the Data Processing Addendum sets out our obligations, and you remain the organisation responsible for it under the PDPA.

You grant us a non-exclusive, worldwide, royalty-free licence to host, back up, transmit, display and process your data in order to provide the service, and to do so through our sub-processors.

You also grant us a licence to use that data to develop, train, test and improve machine learning and artificial intelligence models, on the terms and with the safeguards set out in section 4A of the Privacy Policy — including the removal of direct identifiers wherever practicable. This licence survives only for as long as we hold the data; it does not permit us to publish it, sell it, share it with other users, or build models designed to reproduce your business information. You can opt your account out at any time by writing to boss@r4v3nteam.com.

Your warranty. You confirm that you have the rights and, where the law requires it, the consents necessary for the data you put into OneSeller to be processed as described above. This matters most for personal data about your own customers: they have no relationship with us, and only you are in a position to obtain their consent. If you cannot obtain it, do not enter their personal data into OneSeller.

You can export everything, at any time, without asking us. Your data is never held hostage.

5. Your responsibilities

You are responsible for:

• The lawfulness of the data you upload, including having a proper basis to collect and store your customers' personal data, telling them what you do with it, and obtaining any consent needed for the processing described in section 4;
• The accuracy of what you enter. OneSeller calculates from what you give it;
• Your own compliance — business licensing, consumer protection, tax, GST, and the PDPA as it applies to your relationship with your customers;
• Checking what you send out. Delivery exports, invoices and figures should be reviewed before you rely on them.

You must not use OneSeller to store or distribute unlawful content, to break the law, to circumvent plan limits, to attempt access to another account's data, to probe or disrupt our systems, to scrape or resell the service, or to build a competing product from it.

6. Plans, limits and fees

OneSeller is currently free, with usage limits attached to your plan and shown in the app.

If we introduce paid plans, we will give you at least 30 days' notice before any charge applies to you, and you will be able to decline and export your data. We will never charge you without your explicit agreement first.

We may adjust plan limits, and will give reasonable notice before reducing a limit that affects you.

7. Availability

We aim to keep OneSeller running and to look after your data carefully, but we do not guarantee uninterrupted service. We may need to take it offline for maintenance, and will try to do so at quiet times and to warn you where we can.

The service is provided "as is", without warranties of any kind to the extent the law allows, including warranties of merchantability, fitness for a particular purpose, or that the service will be error-free.

We keep backups and test our ability to restore them. Even so, keep your own copies of anything you cannot afford to lose — the export function exists for exactly this.

8. Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special or consequential loss, or for lost profits, lost revenue, lost sales, lost goodwill or lost data, however caused;
• Our total aggregate liability arising out of or relating to these Terms is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) SGD 100;
• Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

You will indemnify us against claims arising from your unlawful use of the service, or from your breach of your own obligations to your customers or under applicable law.

9. Suspension and termination

You may stop using OneSeller and close your account at any time from Settings. Closing starts a 365-day grace period, after which your data is permanently deleted. If you would rather not wait, you can ask us to delete everything straight away.

We may suspend or terminate an account that materially breaches these Terms, is being used unlawfully, or is putting the service or other users at risk. Except where the breach is serious or unlawful, we will tell you what is wrong and give you a reasonable chance to fix it. Where we suspend an account you will still be able to export your data.

We may discontinue OneSeller entirely. If we do, we will give at least 90 days' notice so you can export everything and move on.

10. Changes to these Terms

We may update these Terms. For material changes we will notify you and ask you to accept the new version when you next sign in. Continuing to use OneSeller after a change takes effect means you accept it. If you do not, you may close your account and export your data.

11. General

• Governing law: the laws of Singapore.
• Jurisdiction: the courts of Singapore have exclusive jurisdiction.
• Entire agreement: these Terms, the Privacy Policy and the DPA are the whole agreement between us on this subject.
• Severability: if any provision is unenforceable, the rest continues in force.
• No waiver: not enforcing a right does not waive it.
• Assignment: you may not assign these Terms without our consent. We may assign them to a successor of our business, on notice to you.
